Economic dynamism is not merely an economic necessity but constitutes a fundamental prerequisite for the preservation of national independence and security. Within this context, foreign investment, as one of the most effective instruments of economic growth and development, has acquired a prominent position in the legal and economic systems of countries. With the expansion of doctrines grounded in free trade and the globalization of markets, the significance of respecting the principle of freedom of contract and the autonomy of the will of the parties in shaping the rights and obligations arising from foreign investment has become increasingly evident. Nevertheless, the Iranian legal system faces substantial challenges in addressing the concepts of “capital,” “investor,” and “foreign investment.” Ambiguities in statutory definitions, regulatory fragmentation, and the incomplete alignment of domestic concepts with internationally recognized standards have generated divergent interpretations and inconsistencies in the execution of investment contracts. Furthermore, the emergence of novel forms of investment arrangements, including public–private partnerships, buy-back contracts, and indirect investments, necessitates a reconsideration of the traditional legal frameworks used to analyze such institutions. Adopting an analytical–critical approach, this article examines the conceptual and practical challenges associated with the definitions of capital, investor, and foreign investment in the Iranian legal system and, through a comparative assessment of international practices and instruments, seeks to identify the existing conceptual and structural deficiencies in the Law on the Promotion and Protection of Foreign Investment and to propose solutions for aligning it with the requirements of the contemporary economy and the imperatives of international economic relations.</p> <p>در شرایط کنونی اقتصاد جهانی، رقابت‌پذیری به‌عنوان عاملی تعیین‌کننده در پایداری اقتصادی و ثبات سیاسی کشورها مطرح است. پویایی اقتصادی، نه‌تنها یک ضرورت اقتصادی، بلکه پیش‌شرطی برای حفظ استقلال و امنیت ملی محسوب می‌شود. در این میان، سرمایه‌گذاری خارجی به‌عنوان یکی از ابزارهای کارآمد رشد و توسعه اقتصادی، جایگاه ویژه‌ای در نظام حقوقی و اقتصادی کشورها یافته است. با گسترش اندیشه‌های مبتنی بر دکترین تجارت آزاد و جهانی‌شدن بازارها، اهمیت احترام به اصل آزادی اراده و حاکمیت اراده طرفین در شکل‌دهی به حقوق و تعهدات ناشی از سرمایه‌گذاری خارجی بیش از پیش نمایان شده است. با وجود این، نظام حقوقی ایران در مواجهه با مفاهیم «سرمایه»، «سرمایه‌گذار» و «سرمایه‌گذاری خارجی» با چالش‌های اساسی روبه‌روست. ابهام در تعاریف قانونی، پراکندگی مقررات و عدم انطباق کامل مفاهیم داخلی با استانداردهای پذیرفته‌شده بین‌المللی، موجب بروز اختلاف‌نظر در تفسیر و اجرای قراردادهای سرمایه‌گذاری شده است. افزون بر آن، ظهور اشکال نوینی از قراردادهای سرمایه‌گذاری، ازجمله مشارکت‌های دولتی-خصوصی، بیع متقابل و سرمایه‌گذاری‌های غیرمستقیم، نیازمند بازنگری در چارچوب‌های سنتی تحلیل حقوقی این نهادها است. این مقاله با رویکردی تحلیلی-انتقادی، به بررسی چالش‌های مفهومی و مصداقی مرتبط با تعاریف سرمایه، سرمایه‌گذار و سرمایه‌گذاری خارجی در نظام حقوقی ایران می‌پردازد و با تکیه بر مقایسه تطبیقی با رویه‌ها و اسناد بین‌المللی، می‌کوشد خلأهای مفهومی و ساختاری موجود در قانون تشویق و حمایت سرمایه‌گذاری خارجی را شناسایی و راهکارهایی برای انطباق آن با نیازهای اقتصاد معاصر و الزامات تعاملات بین‌المللی ارائه دهد.</p> https://www.jecjl.com/index.php/jecjl/article/download/468/280
