This action is provided for in Article 276 of the Amended Bill of the Commercial Code. A question of particular importance concerns the formal and procedural requirements governing the initiation of such an action. It appears that, in response to this question, it should be stated that since the legislator has not explicitly addressed the procedural conditions for filing a derivative action in the Amended Bill of the Commercial Code, these conditions must be derived from the general principles of the Civil Procedure Code, especially the provisions relating to lawsuits initiated by legal representatives, and—by analogy—extended to derivative actions as well. The research method employed in this article is analytical and descriptive.</p> <p>دعوی مشتق دعوایی است که از سوی دارندگان حداقل یک پنجم سهامدران شرکت سهامی به نمایندگی از سوی آن شرکت علیه مدیران یا مدیران متخلفی که تقصیر آنها باعث ورود ضرر به شرکت شده مطرح می‌شود، دعوی مذکور در ماده 276 لایحه قانونی اصلاح قسمتی از قانون تجارت پیش بینی شده است، سئوالی که پاسخ به آن از اهمیت خاصی برخوردار است شرایط شکلی و آیینی اقامه دعوی مذکور می‌باشد، به نظر می‌رسد در پاسخ به این سئوال باید گفت با توجه به اینکه در لایحه قانونی اصلاح قسمتی از قانون تجارت در مورد شرایط شکلی اقامه دعوی مشتق مطلبی توسط قانونگذار مطرح نشده، بایستی این شرایط را بر اساس عمومات قانون آیین دادرسی مدنی علی الخصوص در قسمت مربوط به اقامه دعوی از سوی نمایندگان قانونی استخراج کرده و با اخذ وحدت ملاک آن را به دعوی مشتق نیز سرایت داد. روش تحقیق در این مقاله تحلیلی و توصیفی می‌باشد.</p> https://www.jecjl.com/index.php/jecjl/article/download/500/305
