The research context is grounded in fundamental concepts of contract law—such as intention, legal capacity, and mutual consent—in the digital era. Given the absence of consciousness and independent will in artificial intelligence, this study analyzes its role either as a mere instrument or as an autonomous agent, in order to clarify under which scenarios such contracts are considered valid and under which they are deemed void. This research is theoretical in nature and has been conducted using a descriptive–analytical method. The findings indicate that the validity of AI-based contracts is contingent upon the legal capacity and intention of the human agent; where artificial intelligence serves an instrumental role, the transaction is valid, whereas in cases of its assumed independence, the transaction is void, and liability ultimately reverts to the human actor. Accordingly, AI-based contracts are valid when AI operates as a tool, but void when it functions as an independent agent; in all cases, responsibility remains with the human.</p> <p>هدف این است که با بررسی مبانی فقهی و حقوقی ایران، اعتبار قراردادهایی که هوش مصنوعی در انعقاد آن‌ها نقش عامل الکترونیکی دارد، مشخص شود. زمینه تحقیق، مفاهیم بنیادین حقوق قراردادها مانند اراده، اهلیت، و تراضی در عصر دیجیتال است، و این بررسی با توجه به فقدان شعور و اراده مستقل در هوش مصنوعی، نقش آن را به عنوان ابزار یا عامل مستقل مورد تحلیل قرار می‌دهد تا روشن شود قراردادها در کدام سناریو معتبر و در کدام سناریو باطل تلقی می‌شوند. این تحقیق از نوع نظری بوده و به روش توصیفی – تحلیلی صورت گرفته است یافته‌ها نشان می‌دهند اعتبار قراردادهای هوش مصنوعی منوط به اهلیت و اراده عامل انسانی است؛ در صورت نقش ابزاری هوش مصنوعی، معامله صحیح و در صورت استقلال آن، معامله باطل است و مسئولیت به انسان بازمی‌گردد. قراردادهای هوش مصنوعی در صورت نقش ابزاری معتبر و در صورت استقلال عامل، باطلند؛ مسئولیت همواره با انسان است.</p> https://www.jecjl.com/index.php/jecjl/article/download/536/311
