Journal Article 1404/10/01 <p>One of the significant and noteworthy issues in arbitration law is the possibility or impossibility of extending an arbitration clause to third parties within a group of commercial companies. Acceptance of this doctrine constitutes an important step toward enhancing efficiency and justice in the resolution of commercial disputes within such companies, which are characterized by complex relationships. It not only reduces litigation costs and the duration of proceedings, but also creates greater coherence and transparency in the arbitration process and, by preserving consistency and institutional unity, prevents contradictory judicial decisions and enforcement-related difficulties. Nevertheless, the approach of Iranian law toward this matter has not been expressly and clearly determined, and legal analyses in this regard remain the subject of substantial disagreement among jurists. The present study aims to examine the concept, theoretical foundations, effects, and legal rules governing the extension of arbitration clauses to third parties within corporate groups, while also analyzing the approach adopted by Iranian law in this respect.</p> <p>یکی از مسائل مهم و قابل توجه در ارتباط با حقوق داوری، امکان یا عدم امکان تسری شرط داوری به اشخاص ثالث در گروه شرکت‌های تجاری است. پذیرش این امر، گامی مهم در جهت ارتقای کارآمدی و عدالت در رسیدگی به اختلافات تجاری در این شرکت ها که دارای روایط پیچیده ایی هستند می باشد و نه تنها موجب کاهش هزینه‌ها و زمان رسیدگی می‌شود، بلکه هماهنگی و شفافیت بیشتری در فرایند داوری ایجاد کرده و ضمن حفظ وحدت رویه و یکپارچگی، از تضاد آرای قضایی و مشکلات اجرایی جلوگیری می‌کند. با این حال، رویکرد حقوق ایران نسبت به این امر، به صورت صریح و شفاف، مشخص نیست و تحلیل ها در این مورد نیز محل اختلاف آشکار حقوقدانان است.  در تحقیق حاضر، هدف، بررسی مفهوم، مبانی نظری، آثار و احکام تسری شرط داوری به ثالث در گروه شرکت هاست و تلاش شده است رویکرد حقوق ایران در این باره، مورد مطالعه و تحلیل قرار گیرد.</p> Arbitration clause extension of arbitration clause extension of arbitration clause to third parties corporate groups Iranian law شرط داوری تسری شرط داوری تسری شرط داوری به ثالث گروه شرکت ها حقوق ایران https://www.jecjl.com/index.php/jecjl/article/download/567/353
