One of the most important economic phenomena of the present century is foreign investment, which has received increasing attention because it is regarded as one of the principal means of gaining access to capital, technology, and the possibility of sustained economic growth in countries. On the other hand, foreign investment is considered a main route through which developing countries can access advanced technology; it also increases domestic production both directly and indirectly and constitutes a key factor in the economic development of every country. Moreover, the most important role of foreign investment is to bring capital, skills, and technology into countries. Despite the remarkable scale of foreign investment in other countries and the enactment of the Foreign Investment Promotion and Protection Act in 2001 and its Executive Regulations approved in 2002, Iran, due to the absence of a coherent and dynamic legal system alongside other factors, has faced serious challenges in this regard. As a result, the existing deficiencies in the path of foreign investment have not only remained unresolved, but legal inadequacies have also prevented the realization of an efficient legal regime governing foreign investment. These issues are examined in this study.</p> <p>این مقاله بدنبال آسیب شناسی قوانین موجود در حوزه سرمایه گذاری خارجی به روش توصیفی و تحلیلی می باشد. یکی از مهم ترین پدیده‌های اقتصادی قرن حاضر، سرمایه گذاری خارجی می‌باشد و از آن جا که به عنوان یکی از روش‌های عمده دستیابی به سرمایه، فناوری و امکان تداوم رشد اقتصادی در کشورها بوده، بیشتر مورد توجه قرار گرفته است. از سوی دیگر سرمایه‌گذاری خارجی به عنوان راه اصلی دسترسی به تکنولوژی پیشرفته برای کشورهای در حال توسعه مطرح بوده و هم به صورت مستقیم و غیرمستقیم تولید داخلی را افزایش و کلید اصلی توسعه اقتصادی هر کشور است. همچنین مهم ترین نقش سرمایه گذاری خارجی، آوردن سرمایه، مهارت ها و فن آوری به کشورها می‌باشد. با وجود ابعاد چشمگیر سرمایه‌گذاری خارجی در کشورهای دیگر و تصویب قانون تشویق و حمایت سرمایه‌گذاری خارجی در سال 1380 و آئین نامه اجرایی آن مصوب 1381، ایران به دلیل فقدان یک نظام حقوقی منسجم و پویا در کنار عوامل دیگر با چالش‌های جدی در این مورد مواجه بوده به طوری که نواقص موجود بر سر راه سرمایه گذاری خارجی نه تنها برطرف نشده، بلکه حتی نارسائی‌های قانونی نیز مانع از تحقق یک نظام حقوقی کارآمد حاکم بر سرمایه گذاری خارجی بوده است که در این پژوهش این موارد مورد بررسی قرار می‌گیرد.</p> https://www.jecjl.com/index.php/jecjl/article/download/653/362
