این مقاله بدنبال آسیب شناسی قوانین موجود در حوزه سرمایه گذاری خارجی به روش توصیفی و تحلیلی می باشد. یکی از مهم ترین پدیدههای اقتصادی قرن حاضر، سرمایه گذاری خارجی میباشد و از آن جا که به عنوان یکی از روشهای عمده دستیابی به سرمایه، فناوری و امکان تداوم رشد اقتصادی در کشورها بوده، بیشتر مورد توجه قرار گرفته است. از سوی دیگر سرمایهگذاری خارجی به عنوان راه اصلی دسترسی به تکنولوژی پیشرفته برای کشورهای در حال توسعه مطرح بوده و هم به صورت مستقیم و غیرمستقیم تولید داخلی را افزایش و کلید اصلی توسعه اقتصادی هر کشور است. همچنین مهم ترین نقش سرمایه گذاری خارجی، آوردن سرمایه، مهارت ها و فن آوری به کشورها میباشد. با وجود ابعاد چشمگیر سرمایهگذاری خارجی در کشورهای دیگر و تصویب قانون تشویق و حمایت سرمایهگذاری خارجی در سال 1380 و آئین نامه اجرایی آن مصوب 1381، ایران به دلیل فقدان یک نظام حقوقی منسجم و پویا در کنار عوامل دیگر با چالشهای جدی در این مورد مواجه بوده به طوری که نواقص موجود بر سر راه سرمایه گذاری خارجی نه تنها برطرف نشده، بلکه حتی نارسائیهای قانونی نیز مانع از تحقق یک نظام حقوقی کارآمد حاکم بر سرمایه گذاری خارجی بوده است که در این پژوهش این موارد مورد بررسی قرار میگیرد.
